Purpose of the Job

The Head of Corporate Governance is a key leadership role responsible for shaping and overseeing the corporate governance framework and secretarial functions across the global subsidiaries of Aramex PJSC. This position ensures adherence to corporate compliance standards, regulatory requirements, and company policies, aligning governance practices with the Group's strategic objectives.

Working collaboratively with senior legal counsel and subsidiary directors, this role fosters transparency, accountability, and effective governance communication throughout the organization. It acts as a vital liaison coordinating governance initiatives across regions while coordinating with the Board Secretary of Aramex PJSC in harmonizing governance practices group-wide.

Job Description

Reporting to the Group General Counsel, the Head of Corporate Governance leads and coordinates all secretarial and corporate governance activities for Aramex’s subsidiaries worldwide. The role involves comprehensive management of corporate records, regulatory filings, board and shareholder meetings, and governance policies to ensure strict compliance with varying local laws and group directives.

  • Lead the preparation and maintenance of all corporate governance documentation including Articles of Association, board resolutions, shareholder agreements, and powers of attorney, ensuring accuracy and timely filings with relevant authorities across jurisdictions.
  • Develop, update, and implement standardized governance frameworks and policies that apply consistently across all subsidiaries, tailored to local regulatory environments and Aramex’s global governance strategy.
  • Act as the primary advisor on complex corporate transactions, including mergers and acquisitions, ensuring governance compliance and proper documentation throughout all stages.
  • Manage a network of external company secretaries and professional regulators, ensuring alignment with group policies and efficient utilization of resources while overseeing budget management in close coordination with the legal team.
  • Create and maintain a detailed corporate calendar encompassing all subsidiary board and shareholder meetings, statutory deadlines, compliance reports, and corporate filings to uphold timely governance and legal adherence.
  • Drive the implementation and administration of Dilitrust or equivalent entity management platforms to centralize corporate recordkeeping, enhance governance transparency, and facilitate audit readiness.
  • Recruit, mentor, and lead a skilled corporate governance team responsible for ensuring effective secretarial services and compliance across all entities, promoting professional development and excellence.
  • Remain abreast of evolving governance laws, regulations, and best practices globally, proactively communicating relevant changes to executive leadership, boards of directors, and legal teams to support informed decision-making.
  • Coordinate and deliver periodic training sessions for board members and governance stakeholders to enhance awareness of roles, responsibilities, and regulatory obligations.
  • Provide expert guidance to subsidiary boards ensuring all governance activities meet statutory requirements and align with Aramex’s values of accountability, transparency, and ethical conduct.
  • Serve as the primary governance liaison engaging with regional legal counsels and external advisors to align practices, address challenges, and foster an inclusive governance culture throughout the organization.

Job Requirements - Experience and Education

  • Bachelor’s degree in Law from a recognized institution is essential; advanced qualifications such as a Master’s degree or equivalent in Law from jurisdictions like the UK, US, or Australia are strongly preferred.
  • Minimum of 8 years of professional experience as a qualified lawyer specializing in corporate governance, company secretarial practice, and corporate law, preferably within large multinational groups.
  • Proven track record of managing governance frameworks and secretarial functions across multiple international subsidiaries or entities.
  • Demonstrated experience facilitating governance training and workshops for board members and key organizational leaders, emphasizing practical application and regulatory compliance.
  • Hands-on proficiency with Dilitrust or comparable entity management platforms to streamline corporate governance operations and compliance management.
  • High proficiency in Microsoft Office suite—Excel, Word, PowerPoint, Outlook—with sound presentation and communication skills to effectively engage diverse audiences.
  • Exceptional analytical, interpersonal, and stakeholder management abilities, capable of working across multi-cultural environments and complex regulatory landscapes.
  • Experience in the logistics and transportation industry is advantageous but not mandatory, complemented by a flexible and adaptable approach to sector-specific governance challenges.
  • Fluency in both English and Arabic (written and spoken) is required; additional language skills such as French are a valuable asset enhancing cross-regional collaboration.
